Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Synnamon.ai website and services (the “Services”) provided by ColibriLUXE (“we”, “us”, “our”). By creating an account or using the Services, you agree to these Terms.

1. Accounts

You must provide accurate information when creating an account and are responsible for keeping your credentials secure and for all activity under your account. You must be at least 18 years old and able to form a binding contract.

2. The Services

Synnamon.ai lets you build, configure, and deploy AI voice and chat agents across channels, trained on content you provide, with a built-in CRM, booking, and analytics. We may update, improve, or modify the Services over time.

3. Acceptable use

You agree not to use the Services to:

  • Break any law or regulation, or infringe others’ rights.
  • Send spam, make unlawful calls or messages, or violate telemarketing, anti-spam, or call-recording laws (including obtaining any required consent).
  • Upload malicious code or attempt to disrupt or gain unauthorised access.
  • Generate or distribute fraudulent, deceptive, harassing, or harmful content, or impersonate any person without authorisation.
  • Reverse engineer or resell the Services except as expressly permitted.

4. Your content and AI output

You retain ownership of the content you provide (“Customer Data”). You grant us a limited licence to host and process it solely to provide the Services. You are responsible for the content you upload and for the configuration and outputs of your AI agents. AI-generated output may be inaccurate; you are responsible for reviewing it before relying on it.

5. Third-party services

The Services rely on third-party providers (such as AI, hosting, telephony, and payment providers). Your use may be subject to their terms, and we are not responsible for third-party services outside our control.

6. Fees and billing

Paid plans are billed on a subscription basis plus any usage-based charges (for example voice minutes, messages, and AI tokens) as described at checkout. Fees are billed in advance and are non-refundable except where required by law. We may change pricing with reasonable notice. Failure to pay may result in suspension or termination.

7. Intellectual property

We and our licensors own all rights in the Services, including software, design, and trademarks. These Terms do not grant you any rights in our intellectual property except the limited right to use the Services.

8. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that AI outputs will be accurate.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the amounts you paid to us in the 12 months before the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your Customer Data, your use of the Services, or your breach of these Terms or applicable law.

11. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms or if required to protect the Services or comply with law. Upon termination, your right to use the Services ceases and we may delete your data in accordance with our Privacy Policy.

12. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales will have exclusive jurisdiction, except where mandatory local law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use of the Services after changes take effect constitutes acceptance.
